URABIA — TERMS OF SERVICE
Including Community Standards, Business & Vendor Terms, Marketplace Terms, Radio Terms, and AI Moderation Policy
Urabia LLC — a Texas limited liability company, United States
PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 21) THAT AFFECT YOUR LEGAL RIGHTS. BY CREATING AN ACCOUNT OR USING URABIA, YOU AGREE TO THESE TERMS.
1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") are a legally binding agreement between you and Urabia LLC ("Urabia," "we," "us," or "our"), a limited liability company organized under the laws of the State of Texas, United States. They govern your access to and use of the Urabia mobile applications (iOS and Android), the websites urabia.com and radiourabia.com, the vendor and business panels, the Urabia Radio streaming service, and all related services (collectively, the "Platform").
By downloading, accessing, registering for, or using the Platform in any way, you accept these Terms, our Privacy Policy, and our Community Standards (Section 5), which are incorporated into these Terms by reference. If you do not agree, you must not access or use the Platform. If you use the Platform on behalf of a business, you represent that you have authority to bind that business, and "you" includes that business.
2. ELIGIBILITY AND AGE REQUIREMENTS
• You must be at least 13 years of age to create an account or use the Platform.
• If you are between 13 and 17 years of age (or below the age of legal majority where you live), you may only use the Platform with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf and is responsible for your use.
• You must be at least 18 years of age to purchase products, subscribe to any business listing plan, list a business, or enter into any transaction on the Platform.
• You may not use the Platform if you have previously been banned or removed, or if you are barred from using it under applicable law.
We do not knowingly permit children under 13 to create accounts. If we become aware that a person under 13 has created an account, we will terminate it.
3. THE PLATFORM
Urabia is a curated, bilingual (English/Arabic), family-friendly community platform built for the Arab diaspora. The Platform currently includes:
• Home — a personalized feed combining content from across the Platform.
• Radio — city-specific Arabic radio streaming, and user-created channels for podcasts and original music.
• Services — a location-based directory of Arab-owned and Arab-friendly businesses and service providers, with user ratings and reviews. Businesses pay subscription fees to be listed.
• Products — a curated marketplace of culturally relevant products sold by Urabia and by vendors approved by Urabia.
• Social — a family-friendly, politics-free social space with posts, polls, events, and direct messaging.
Urabia may add, modify, suspend, or discontinue any feature at any time without liability to you. Access to certain features may depend on your location, device, or account status.
4. ACCOUNTS, REGISTRATION AND SECURITY
• You agree to provide accurate, current, and complete information when registering and to keep it updated.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• You must notify us immediately at admin@urabia.com of any unauthorized use of your account.
• You may not sell, transfer, or share your account, impersonate any person or entity, or create an account using false identity information.
• Profile fields such as "country of origin" are voluntary and self-declared. Urabia does not verify them and displaying them is your choice.
• Account verification badges are granted at Urabia’s sole discretion, may be revoked at any time, and do not constitute an endorsement.
5. COMMUNITY STANDARDS — FAMILY-FRIENDLY AND POLITICS-FREE (ZERO TOLERANCE)
Urabia is a strictly family-friendly, culturally respectful, politics-free platform. Urabia is a private platform, not a public forum, and is NOT a free-speech or open-debate platform. It is a curated, moderated environment that prioritizes safety, respect, and community harmony. There is no obligation to host, publish, or preserve any content.
The following content and conduct are strictly prohibited anywhere on the Platform, including posts, comments, polls, events, profiles, usernames, images, video, audio, radio channels, podcasts, business listings, product listings, reviews, and direct messages:
5.1 Adult and Sexual Content
• Nudity (full or partial), sexually explicit or suggestive material, sexual solicitation, or adult services of any kind.
5.2 Language and Conduct
• Profanity, vulgarity, or obscene language in any language, including transliterated or disguised profanity.
• Insults, harassment, bullying, threats, intimidation, or stalking.
• Hate speech or discrimination based on race, ethnicity, national origin, religion, sect, gender, disability, or any other characteristic.
5.3 Political and Divisive Content
• Political discussions, debates, campaigns, propaganda, or activism of any kind.
• Content concerning governments, political figures, parties, elections, conflicts, wars, or geopolitical disputes.
• Sectarian content or any content reasonably likely to cause division, unrest, or conflict within the community.
5.4 Toxic Behavior
• Arguments, provocation, trolling, inflammatory or disruptive behavior, or coordinated harassment.
5.5 Illegal, Harmful and Deceptive Content
• Fraud, scams, phishing, pyramid schemes, or misleading offers.
• Content promoting violence, self-harm, weapons, drugs, gambling, or dangerous activities or instructions.
• Content that infringes any intellectual property, privacy, or publicity right.
• Malware, spam, unauthorized advertising, or data scraping.
• Any content or activity that violates any applicable law.
5.6 The Family Standard
All content must be appropriate for children, families, and public viewing. If content would not be suitable for a child to see, it is prohibited on Urabia. This standard is applied at Urabia’s sole discretion and is intentionally stricter than the standards of general-purpose social platforms — this is the core promise of the Platform, and every user actively agrees to it at signup.
6. MODERATION, REPORTING, AND BLOCKING
• Urabia may review, screen, filter, edit, restrict, demote, remove, or refuse any content at any time, for any reason or no reason, with or without notice, and without liability.
• Every user can report objectionable content or abusive users through the in-app reporting tools. Urabia will act on reports of objectionable content within 24 hours, including removing the content and/or ejecting the offending user where appropriate.
• Every user can block other users. Blocked users cannot message you or interact with your content.
• Repeat or serious violations result in content removal, suspension, or permanent ban, at Urabia’s sole discretion, without refund of any fees.
• Urabia may preserve and disclose content or account information if required by law or where necessary to protect the safety of users or the public.
Urabia does not undertake any obligation to monitor all content. As an interactive computer service provider, Urabia is not the publisher or speaker of user-provided content, consistent with 47 U.S.C. § 230 (Section 230 of the Communications Decency Act), and moderation decisions made in good faith are protected under the same statute.
7. AI-ASSISTED MODERATION AND AUTOMATION
Urabia uses automated systems, including artificial intelligence, to screen media, filter text, detect violations, assist users, and produce certain Platform content (including AI-generated audio advertisements and AI-generated music). You acknowledge and agree that:
• Moderation decisions may be fully automated and are not always reviewed by a human.
• Content may be removed, restricted, or rejected automatically, and accounts may be restricted based on automated detection.
• Automated systems can make mistakes. Urabia is not liable for AI errors, misclassification, false positives or negatives, or any content-removal or account-restriction decision.
• Certain audio on the Platform, including advertisements and music, may be synthetic (AI-generated) and is identified as such where required by law.
8. USER CONTENT — OWNERSHIP AND LICENSE
"User Content" means anything you post, upload, stream, or transmit on the Platform, including text, photos, videos, audio, podcasts, music, polls, events, reviews, listings, and messages.
• You retain ownership of your User Content.
• You grant Urabia a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, translate, publish, publicly display, publicly perform, stream, and distribute your User Content, in whole or in part, in any media, for the purposes of operating, promoting, and improving the Platform. This license continues for content that has been shared with others until deleted by all recipients, and survives account deletion only to the extent copies remain in backups or in content re-shared by other users.
• You grant Urabia the right to use your username and profile image in connection with your User Content.
• You represent and warrant that you own or have all rights necessary to post your User Content and to grant this license, and that your User Content does not violate these Terms, any law, or any third-party right.
• Feedback and suggestions you send us may be used without restriction or compensation.
9. COPYRIGHT POLICY (DMCA)
Urabia respects intellectual property rights and complies with the Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe content on the Platform infringes your copyright, send a written notice to our designated agent containing: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification and location of the infringing material; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the owner.
DMCA Agent: Urabia LLC — Copyright Agent, admin@urabia.com. Counter-notices may be submitted to the same address and must comply with 17 U.S.C. § 512(g). Urabia terminates the accounts of repeat infringers.
10. SERVICES DIRECTORY — BUSINESS SUBSCRIPTION TERMS
This Section applies to businesses and individual providers ("Providers") who purchase listings in the Services directory.
10.1 Plans and Promoted Placements
• Starter — $19 per month — 1 listing.
• Growth — $59 per month — up to 3 listings.
• Pro — $99 per month — up to 10 listings.
• Promoted city placements and featured slots are premium add-ons, limited in number per city, sold separately, priced as published at the time of purchase, and rotate based on the viewing user’s detected city.
Prices are stated in U.S. dollars, exclude applicable taxes, and may change prospectively at any time. Price changes will not affect a current paid billing period and will be communicated before renewal.
10.2 Billing, Auto-Renewal and Cancellation
• Subscriptions are billed in advance, renew automatically each month, and are charged to your payment method on file via our payment processor (Stripe) until cancelled.
• You may cancel at any time through the vendor panel or by contacting admin@urabia.com. Cancellation takes effect at the end of the current billing period. No prorated refunds are given for partial periods.
• All subscription payments are processed on the web through Stripe. Business subscriptions are not sold through Apple In-App Purchase or Google Play Billing.
• If a payment fails or a subscription lapses, your listings are hidden from the directory (not deleted) until payment is restored. Urabia may also hide listings for violation of these Terms.
• Complimentary or "Founding Business" listings are granted, extended, and revoked at Urabia’s sole discretion and create no entitlement to continued free service.
10.3 Provider Obligations
• Providers must supply accurate, lawful, current, and non-misleading information, and must hold all licenses, permits, and insurance legally required for their services.
• No deceptive, exaggerated, or unsubstantiated claims; no prohibited categories; no unlawful services.
• Providers are solely responsible for the quality, safety, legality, pricing, and delivery of their services, and for their own tax, employment, and regulatory compliance.
• Providers authorize Urabia to display their business information, location on the map, and category placement, and to reasonably edit listing formatting for consistency.
10.4 Platform Role — No Endorsement, No Party to Transactions
Urabia is a venue only. A listing, category placement, promoted spot, badge, rating, or review is not an endorsement, certification, recommendation, or guarantee by Urabia of any Provider, and Urabia does not verify Provider identity, licensure, qualifications, or the accuracy of listing content. Any engagement, contract, payment, or dispute between a user and a Provider is solely between them. Urabia is not a party to, and has no liability arising from, any transaction between users and Providers. Users deal with Providers at their own risk and should perform their own diligence.
11. PRODUCTS MARKETPLACE TERMS
11.1 What the Marketplace Is
The Products tab is a curated marketplace. Some products are sold directly by Urabia (including print-on-demand items produced and shipped by third-party fulfillment partners such as Printify and Printful). Other products may be sold by third-party vendors approved by Urabia in its sole discretion. The named seller of each product is identified at the point of sale and is the party responsible for that product.
11.2 Orders, Pricing and Payment
• All prices are shown in U.S. dollars unless stated otherwise, and are subject to change before order acceptance. An order is accepted when payment is captured and a confirmation is issued.
• Payments for physical products are processed by Stripe and may include Apple Pay or Google Pay as payment methods. Urabia does not store full card numbers.
• Sales taxes are calculated and collected at checkout where required. Where marketplace facilitator laws apply, Urabia collects and remits sales tax on behalf of vendors.
• Obvious pricing errors may be cancelled and refunded even after confirmation.
11.3 Shipping, Returns and Print-on-Demand Products
• Delivery estimates are estimates only. Urabia is not liable for carrier delays, customs processing, or events beyond its control.
• Print-on-demand items are made to order. They may be returned or replaced only if defective, damaged, misprinted, or materially different from the product description, reported with photos within 30 days of delivery. They are not returnable for buyer’s remorse, sizing choice, or change of mind, to the extent permitted by law.
• Nothing in this Section limits any non-waivable statutory consumer rights in your jurisdiction.
11.4 Vendor Products
Approved vendors are solely responsible for their products, product safety, labeling, regulatory compliance, fulfillment, and after-sale support. Urabia may remove any vendor or product at any time. Urabia’s curation and approval process is not a warranty of any product.
12. RADIO, USER CHANNELS AND PODCASTS
• Urabia Radio streams are provided for personal, non-commercial listening only. You may not record, redistribute, retransmit, or commercially exploit any stream.
• Users who create channels, podcasts, or upload music represent and warrant that they own or have licensed ALL rights required (including composition, sound recording, performance, and synchronization rights) for every piece of audio they upload or stream, and that their content complies with Section 5.
• You are solely responsible for any royalties or license fees owed for content you upload. Urabia may remove any audio content at any time, including in response to rights-holder requests.
• Radio advertising slots are sold under separate insertion terms. Urabia may produce ad creative, including with AI voices, and retains ownership of the produced creative unless agreed otherwise in writing.
• Station lineups, playlists, availability, and city assignments may change at any time.
13. REVIEWS AND RATINGS
• Reviews must reflect a genuine personal experience, must be accurate, and must comply with Section 5.
• Prohibited: fake, incentivized, or paid reviews; reviewing your own business or a competitor’s business; review manipulation or exchange schemes; extortionate reviews.
• Providers and vendors may not offer compensation for reviews or retaliate against reviewers.
• Urabia may remove any review at its discretion but does not undertake to verify reviews and is not responsible for their content, consistent with Section 230 and the federal Consumer Review Fairness Act.
14. PROHIBITED USES OF THE PLATFORM
In addition to Section 5, you may not:
• Access the Platform by automated means, scrape data, harvest user information, or index the Platform without written permission.
• Reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law.
• Circumvent security, moderation, rate limits, bans, or access controls, or create accounts to evade enforcement.
• Use the Platform to send spam or unsolicited commercial messages, including through direct messages.
• Upload viruses or malicious code, or interfere with the Platform’s operation or other users’ use.
• Use the Platform in violation of U.S. export controls or sanctions, or if you are on any U.S. government restricted list.
• Misrepresent affiliation with Urabia or use Urabia’s name, logo, or trademarks without written permission.
15. THIRD-PARTY SERVICES
The Platform relies on and links to third-party services, including payment processing (Stripe), maps (Google), media processing, fulfillment partners, streaming infrastructure, and external websites. Your use of third-party services is governed by their own terms and privacy policies. Urabia is not responsible for third-party services, their availability, or their acts or omissions.
16. URABIA INTELLECTUAL PROPERTY
The Platform, including its software, design, text, graphics, logos, trademarks (including "Urabia" and "يورابيا"), audio produced by Urabia, AI-generated brand content, and the arrangement of all content, is owned by Urabia LLC or its licensors and is protected by U.S. and international intellectual property laws. Urabia grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the apps and Platform for their intended purpose. No other rights are granted.
17. DISCLAIMER OF WARRANTIES
THE PLATFORM AND ALL CONTENT, LISTINGS, PRODUCTS, STREAMS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. URABIA MAKES NO WARRANTY REGARDING ANY PROVIDER, VENDOR, USER, LISTING, REVIEW, OR PRODUCT. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME MAY NOT APPLY TO YOU.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) URABIA AND ITS OWNERS, MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY; (B) URABIA IS NOT LIABLE FOR USER CONTENT, THE CONDUCT OF ANY USER, PROVIDER, OR VENDOR, ANY TRANSACTION BETWEEN USERS AND PROVIDERS OR VENDORS, OR ANY OFFLINE INTERACTION ARISING FROM THE PLATFORM; AND (C) URABIA’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO URABIA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
19. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Urabia LLC and its owners, members, managers, employees, contractors, and agents from and against any claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your User Content; (b) your use or misuse of the Platform; (c) your violation of these Terms or any law; (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (e) if you are a Provider or vendor, your services, products, listings, or transactions with users; and (f) any audio, music, or podcast content you upload or stream. Urabia may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.
20. TERMINATION
• You may stop using the Platform and delete your account at any time through the in-app account deletion feature.
• Urabia may suspend, restrict, or terminate your account or access, and remove any content, at any time, with or without cause or notice, including for violation of these Terms. Paid fees are not refunded on termination for cause.
• Sections that by their nature should survive termination survive it, including Sections 8, 9, 10.4, 17, 18, 19, 21, 22, and 25.
21. DISPUTE RESOLUTION — BINDING ARBITRATION AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR RIGHTS.
21.1 Informal Resolution First
Before filing any claim, you agree to contact us at admin@urabia.com with a written description of the dispute and give us 60 days to resolve it informally.
21.2 Binding Arbitration
Except as provided below, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Rules for business users), before a single arbitrator. The arbitration shall be conducted in Harris County, Texas, or remotely by video at either party’s election, in English. The Federal Arbitration Act governs this Section. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own attorneys’ fees except as awarded under applicable law or AAA rules.
21.3 Class Action and Jury Trial Waiver
YOU AND URABIA EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Disputes will be arbitrated only on an individual basis. If this class waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall proceed in court, and the waiver remains enforceable for all other claims.
21.4 Exceptions
Either party may (a) bring an individual claim in small claims court, or (b) seek injunctive or equitable relief in court for infringement or misuse of intellectual property or for unauthorized access to the Platform.
21.5 Opt-Out
You may opt out of this arbitration agreement by emailing admin@urabia.com within 30 days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your account email. Opting out does not affect any other provision of these Terms.
22. GOVERNING LAW AND VENUE
These Terms and any dispute are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules and excluding the U.N. Convention on Contracts for the International Sale of Goods. For any matter not subject to arbitration, you and Urabia consent to the exclusive jurisdiction and venue of the state and federal courts located in Harris County, Texas.
23. CHANGES TO THESE TERMS
Urabia may modify these Terms at any time. Material changes will be announced through the Platform or by email, and the "Last Updated" date will change. Changes take effect upon posting unless stated otherwise. Your continued use of the Platform after changes take effect constitutes acceptance. If you do not agree to a change, stop using the Platform and delete your account.
24. APPLE APP STORE — ADDITIONAL TERMS
If you access the Platform through an app obtained from the Apple App Store, the following additional terms apply:
• These Terms are between you and Urabia only, not Apple Inc. ("Apple"). Apple is not responsible for the app or its content.
• Your license to the iOS app is limited to a non-transferable license to use it on Apple-branded devices you own or control, as permitted by the App Store Terms of Service (including Family Sharing where applicable).
• Apple has no obligation to furnish any maintenance or support services for the app.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app (if any) to you; to the maximum extent permitted by law, Apple has no other warranty obligation, and any other warranty claims are Urabia’s responsibility as set out in these Terms.
• Apple is not responsible for addressing any claims by you or a third party relating to the app, including product liability claims, claims that the app fails to conform to legal or regulatory requirements, and consumer protection or similar claims.
• In the event of a third-party claim that the app infringes intellectual property rights, Urabia, not Apple, is responsible for the investigation, defense, settlement, and discharge of the claim, to the extent required by these Terms.
• You represent that you are not located in a country subject to a U.S. government embargo or designated as "terrorist supporting," and that you are not on any U.S. government restricted-party list.
• Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS app and may enforce them against you.
• Purchases of business subscriptions and physical products are made outside the app on the web and are governed by these Terms, not by Apple’s in-app purchase terms.
25. GOOGLE PLAY — ADDITIONAL TERMS
If you obtained the app from Google Play, you acknowledge that these Terms are between you and Urabia only; Google LLC is not responsible for the app or these Terms; and your use of the app must also comply with the Google Play Terms of Service and applicable Google policies.
26. GENERAL PROVISIONS
• Entire Agreement — These Terms, the Privacy Policy, and any posted policies incorporated by reference are the entire agreement between you and Urabia regarding the Platform.
• Severability — If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the rest remains in effect.
• No Waiver — Urabia’s failure to enforce any provision is not a waiver of it.
• Assignment — You may not assign these Terms. Urabia may assign them, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure — Urabia is not liable for delay or failure caused by events beyond its reasonable control.
• No Agency — Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Urabia. Providers and vendors are independent businesses.
• Language — These Terms are provided in English and Arabic. The English version controls in the event of any conflict or ambiguity.
• Notices — Urabia may provide notices through the Platform, by push notification, or by email to your registered address. Legal notices to Urabia must be sent to admin@urabia.com.

يرجى قراءة هذه الشروط بعناية. فهي تتضمن بند تحكيم ملزم وتنازلاً عن الدعاوى الجماعية (القسم 21) يؤثران على حقوقك القانونية. بإنشاء حساب أو استخدام يورابيا فإنك توافق على هذه الشروط.
1. قبول الشروط
شروط الخدمة هذه ("الشروط") هي اتفاقية ملزمة قانوناً بينك وبين شركة Urabia LLC ("يورابيا" أو "نحن")، وهي شركة ذات مسؤولية محدودة مسجلة بموجب قوانين ولاية تكساس بالولايات المتحدة. تحكم هذه الشروط وصولك إلى واستخدامك لتطبيقات يورابيا على iOS وAndroid، والموقعين urabia.com وradiourabia.com، ولوحات التجار والأعمال، وخدمة راديو يورابيا، وجميع الخدمات المرتبطة بها (يشار إليها مجتمعة بـ"المنصة").
بتنزيل المنصة أو الوصول إليها أو التسجيل فيها أو استخدامها بأي شكل، فإنك تقبل هذه الشروط وسياسة الخصوصية ومعايير المجتمع (القسم 5) المدمجة جميعها في هذه الشروط بالإشارة. إذا كنت لا توافق، فلا يجوز لك استخدام المنصة. وإذا كنت تستخدم المنصة نيابةً عن نشاط تجاري، فإنك تقر بأنك تملك صلاحية إلزام ذلك النشاط بهذه الشروط.
2. الأهلية ومتطلبات العمر
• يجب أن يكون عمرك 13 عاماً على الأقل لإنشاء حساب أو استخدام المنصة.
• إذا كان عمرك بين 13 و17 عاماً (أو دون سن الرشد القانوني في بلدك)، فلا يجوز لك استخدام المنصة إلا بموافقة وإشراف أحد الوالدين أو الوصي القانوني الذي يوافق على هذه الشروط نيابةً عنك ويتحمل مسؤولية استخدامك.
• يجب أن يكون عمرك 18 عاماً على الأقل لشراء المنتجات أو الاشتراك في أي خطة إدراج تجاري أو إدراج نشاط تجاري أو إجراء أي معاملة على المنصة.
• لا يجوز لك استخدام المنصة إذا سبق حظرك أو إزالتك منها، أو إذا كان القانون يمنعك من استخدامها.
لا نسمح عن علم للأطفال دون 13 عاماً بإنشاء حسابات، وسنقوم بإنهاء أي حساب يتبين أنه يخص طفلاً دون هذا السن.
3. المنصة
يورابيا منصة مجتمعية منتقاة، ثنائية اللغة (إنجليزي/عربي)، عائلية وآمنة، مصممة للجاليات العربية في المهجر. تشمل المنصة حالياً:
• الرئيسية — صفحة مخصصة تجمع أبرز المحتوى من جميع الأقسام.
• الراديو — بث إذاعي عربي مخصص لكل مدينة، وقنوات ينشئها المستخدمون للبودكاست والموسيقى الأصلية.
• الخدمات — دليل جغرافي للأنشطة التجارية ومقدمي الخدمات العرب، مع تقييمات ومراجعات المستخدمين. تدفع الأنشطة التجارية اشتراكات شهرية للإدراج.
• المنتجات — متجر منتقى لمنتجات ذات صلة ثقافية تبيعها يورابيا أو بائعون معتمدون منها.
• التواصل الاجتماعي — مساحة اجتماعية عائلية خالية من السياسة تشمل المنشورات والاستطلاعات والفعاليات والرسائل المباشرة.
يجوز ليورابيا إضافة أو تعديل أو تعليق أو إيقاف أي ميزة في أي وقت دون أي مسؤولية تجاهك.
4. الحسابات والتسجيل والأمان
• توافق على تقديم معلومات دقيقة وحديثة وكاملة عند التسجيل وتحديثها باستمرار.
• أنت مسؤول عن سرية بيانات الدخول وعن جميع الأنشطة التي تتم عبر حسابك.
• يجب إبلاغنا فوراً على admin@urabia.com عند أي استخدام غير مصرح به لحسابك.
• لا يجوز بيع الحساب أو نقله أو مشاركته، أو انتحال شخصية أي فرد أو جهة، أو إنشاء حساب بمعلومات هوية زائفة.
• حقول الملف الشخصي مثل "بلد الأصل" اختيارية ويُصرّح بها المستخدم بنفسه، ولا تتحقق يورابيا منها.
• تُمنح شارات التوثيق وفق تقدير يورابيا المطلق، ويجوز سحبها في أي وقت، ولا تُعد تزكية أو ضماناً.
5. معايير المجتمع — عائلي وخالٍ من السياسة (عدم تسامح مطلق)
يورابيا منصة عائلية صارمة، محترمة ثقافياً، وخالية من السياسة. يورابيا منصة خاصة وليست منبراً عاماً، وليست منصة حرية تعبير أو نقاش مفتوح، بل بيئة منتقاة وخاضعة للإشراف تُقدّم السلامة والاحترام والانسجام المجتمعي على ما سواها. لا يوجد أي التزام باستضافة أو نشر أو حفظ أي محتوى.
يُحظر تماماً المحتوى والسلوك التاليان في جميع أنحاء المنصة، بما يشمل المنشورات والتعليقات والاستطلاعات والفعاليات والملفات الشخصية وأسماء المستخدمين والصور والفيديو والصوت وقنوات الراديو والبودكاست وإدراجات الأنشطة والمنتجات والمراجعات والرسائل المباشرة:
5.1 المحتوى الجنسي ومحتوى البالغين
• العري الكامل أو الجزئي، والمحتوى الجنسي الصريح أو الإيحائي، وأي خدمات أو عروض للبالغين.
5.2 اللغة والسلوك
• الألفاظ النابية أو البذيئة بأي لغة، بما في ذلك الشتائم المُقنّعة أو المكتوبة بأحرف لاتينية.
• الإهانات والتحرش والتنمر والتهديد والترهيب والملاحقة.
• خطاب الكراهية أو التمييز على أساس العرق أو الأصل أو الدين أو الطائفة أو الجنس أو الإعاقة أو أي صفة أخرى.
5.3 المحتوى السياسي والمثير للانقسام
• النقاشات والحملات والدعاية والنشاط السياسي بجميع أشكاله.
• المحتوى المتعلق بالحكومات أو الشخصيات أو الأحزاب السياسية أو الانتخابات أو النزاعات أو الحروب أو الخلافات الجيوسياسية.
• المحتوى الطائفي أو أي محتوى يُرجّح أن يسبب انقساماً أو نزاعاً داخل المجتمع.
5.4 السلوك السام
• الجدال والاستفزاز والتصيد والسلوك التحريضي أو المسيء أو المضايقات المنظمة.
5.5 المحتوى غير القانوني والضار والمضلل
• الاحتيال والنصب والتصيد الإلكتروني والمخططات الهرمية والعروض المضللة.
• المحتوى الذي يروج للعنف أو إيذاء النفس أو الأسلحة أو المخدرات أو القمار أو الأنشطة أو التعليمات الخطرة.
• المحتوى الذي ينتهك أي حق ملكية فكرية أو خصوصية أو حق شخصي.
• البرمجيات الخبيثة والرسائل المزعجة والإعلانات غير المصرح بها وجمع البيانات الآلي.
• أي محتوى أو نشاط يخالف أي قانون معمول به.
5.6 المعيار العائلي
يجب أن يكون كل المحتوى مناسباً للأطفال والعائلات والعرض العام. إذا كان المحتوى غير مناسب لطفل، فهو محظور على يورابيا. يُطبَّق هذا المعيار وفق تقدير يورابيا المطلق، وهو عمداً أكثر صرامة من معايير المنصات الاجتماعية العامة — فهذا هو الوعد الجوهري للمنصة، ويوافق عليه كل مستخدم صراحةً عند التسجيل.
6. الإشراف والإبلاغ والحظر
• يجوز ليورابيا مراجعة أي محتوى أو فلترته أو تقييده أو إزالته أو رفضه في أي وقت، لأي سبب أو بدون سبب، بإشعار أو بدونه، ودون أي مسؤولية.
• يمكن لكل مستخدم الإبلاغ عن المحتوى المسيء أو المستخدمين المسيئين عبر أدوات الإبلاغ داخل التطبيق. تتعامل يورابيا مع بلاغات المحتوى المسيء خلال 24 ساعة، بما في ذلك إزالة المحتوى و/أو طرد المستخدم المخالف عند الاقتضاء.
• يمكن لكل مستخدم حظر مستخدمين آخرين، فلا يمكنهم مراسلته أو التفاعل مع محتواه.
• تؤدي المخالفات المتكررة أو الجسيمة إلى إزالة المحتوى أو تعليق الحساب أو الحظر الدائم وفق تقدير يورابيا المطلق، دون استرداد أي رسوم.
• يجوز ليورابيا حفظ المحتوى أو معلومات الحساب والإفصاح عنها إذا اقتضى القانون ذلك أو لحماية سلامة المستخدمين أو الجمهور.
لا تلتزم يورابيا بمراقبة كل المحتوى. وبصفتها مزود خدمة كمبيوتر تفاعلية، لا تُعد يورابيا ناشراً أو متحدثاً عن محتوى المستخدمين وفقاً للمادة 230 من قانون آداب الاتصالات الأمريكي (47 U.S.C. § 230)، وقرارات الإشراف المتخذة بحسن نية محمية بموجب القانون ذاته.
7. الإشراف الآلي بالذكاء الاصطناعي
تستخدم يورابيا أنظمة آلية، منها الذكاء الاصطناعي، لفحص الوسائط وفلترة النصوص وكشف المخالفات ومساعدة المستخدمين وإنتاج بعض المحتوى (بما في ذلك إعلانات صوتية وموسيقى منتَجة بالذكاء الاصطناعي). أنت تقر وتوافق على أن:
• قرارات الإشراف قد تكون آلية بالكامل ولا تُراجع دائماً من قبل إنسان.
• قد يُزال المحتوى أو يُقيَّد تلقائياً، وقد تُقيَّد الحسابات بناءً على الكشف الآلي.
• الأنظمة الآلية قد تخطئ، ويورابيا غير مسؤولة عن أخطاء الذكاء الاصطناعي أو التصنيف الخاطئ أو أي قرار بإزالة محتوى أو تقييد حساب.
• بعض الصوتيات على المنصة، بما فيها الإعلانات والموسيقى، قد تكون مُنتَجة بالذكاء الاصطناعي.
8. محتوى المستخدم — الملكية والترخيص
"محتوى المستخدم" يعني كل ما تنشره أو ترفعه أو تبثه أو ترسله عبر المنصة من نصوص وصور وفيديو وصوت وبودكاست وموسيقى واستطلاعات وفعاليات ومراجعات وإدراجات ورسائل.
• تحتفظ أنت بملكية محتواك.
• تمنح يورابيا ترخيصاً عالمياً غير حصري ومجانياً وقابلاً للترخيص من الباطن وللنقل، لاستضافة محتواك وتخزينه ونسخه وتعديله وترجمته ونشره وعرضه وأدائه علناً وبثه وتوزيعه، كلياً أو جزئياً وبأي وسيلة، لأغراض تشغيل المنصة والترويج لها وتحسينها.
• تمنح يورابيا حق استخدام اسم المستخدم وصورة الملف الشخصي بالارتباط مع محتواك.
• تقر وتضمن أنك تملك أو تحوز جميع الحقوق اللازمة لنشر محتواك ومنح هذا الترخيص، وأن محتواك لا يخالف هذه الشروط أو أي قانون أو حق للغير.
• يجوز ليورابيا استخدام أي اقتراحات أو ملاحظات ترسلها دون قيد أو مقابل.
9. سياسة حقوق النشر (DMCA)
تحترم يورابيا حقوق الملكية الفكرية وتلتزم بقانون الألفية للملكية الرقمية الأمريكي (DMCA). إذا كنت تعتقد أن محتوى على المنصة ينتهك حقوق نشرك، أرسل إشعاراً كتابياً إلى وكيلنا المعتمد يتضمن: توقيعك، وتحديد العمل المحمي، وتحديد المحتوى المخالف وموقعه، وبيانات الاتصال بك، وإقراراً بحسن النية، وإقراراً تحت طائلة الحنث باليمين بصحة الإشعار وتفويضك بالتصرف. وكيل حقوق النشر: Urabia LLC — admin@urabia.com. تُنهي يورابيا حسابات المخالفين المتكررين.
10. دليل الخدمات — شروط اشتراكات الأعمال
يسري هذا القسم على الأنشطة التجارية والأفراد مقدمي الخدمات ("مقدمو الخدمات") الذين يشترون إدراجات في دليل الخدمات.
10.1 الخطط والمواضع المروَّجة
• Starter — 19 دولاراً شهرياً — إدراج واحد.
• Growth — 59 دولاراً شهرياً — حتى 3 إدراجات.
• Pro — 99 دولاراً شهرياً — حتى 10 إدراجات.
• المواضع المروَّجة والمميزة في كل مدينة إضافات مدفوعة منفصلة، محدودة العدد لكل مدينة، بالأسعار المعلنة وقت الشراء، وتتغير حسب المدينة المكتشفة للمستخدم.
الأسعار بالدولار الأمريكي، ولا تشمل الضرائب المطبقة، وقد تتغير مستقبلاً. لا تؤثر تغييرات الأسعار على فترة فوترة مدفوعة جارية وسيتم الإخطار بها قبل التجديد.
10.2 الفوترة والتجديد التلقائي والإلغاء
• تُفوتر الاشتراكات مقدماً وتتجدد تلقائياً كل شهر وتُحصَّل عبر معالج الدفع Stripe حتى يتم الإلغاء.
• يمكنك الإلغاء في أي وقت عبر لوحة التاجر أو بمراسلة admin@urabia.com، ويسري الإلغاء بنهاية فترة الفوترة الجارية، ولا تُسترد مبالغ عن الفترات الجزئية.
• تُعالَج جميع مدفوعات الاشتراكات عبر الويب من خلال Stripe، ولا تُباع اشتراكات الأعمال عبر مشتريات Apple داخل التطبيق أو فوترة Google Play.
• في حال فشل الدفع أو انتهاء الاشتراك، تُخفى الإدراجات من الدليل (دون حذفها) حتى استعادة الدفع، ويجوز إخفاء الإدراجات عند مخالفة هذه الشروط.
• الإدراجات المجانية أو إدراجات "الأعمال المؤسِّسة" تُمنح وتُمدَّد وتُسحب وفق تقدير يورابيا المطلق ولا تنشئ أي حق في استمرار الخدمة المجانية.
10.3 التزامات مقدمي الخدمات
• يجب على مقدمي الخدمات تقديم معلومات دقيقة وقانونية وحديثة وغير مضللة، وحيازة جميع التراخيص والتصاريح والتأمينات المطلوبة قانوناً.
• يُحظر تقديم ادعاءات مضللة أو مبالغ فيها أو غير مثبتة، أو خدمات غير قانونية.
• مقدمو الخدمات وحدهم مسؤولون عن جودة خدماتهم وسلامتها وقانونيتها وأسعارها وتنفيذها، وعن التزاماتهم الضريبية والتنظيمية.
• يفوّض مقدمو الخدمات يورابيا بعرض معلومات نشاطهم وموقعه على الخريطة وتصنيفه، وبتعديل تنسيق الإدراج بشكل معقول.
10.4 دور المنصة — لا تزكية ولا طرف في المعاملات
يورابيا وسيط عرض فقط. لا يُعد الإدراج أو الموضع المروَّج أو الشارة أو التقييم أو المراجعة تزكيةً أو اعتماداً أو توصيةً أو ضماناً من يورابيا لأي مقدم خدمة، ولا تتحقق يورابيا من هوية مقدمي الخدمات أو تراخيصهم أو مؤهلاتهم أو دقة محتوى الإدراج. أي تعاقد أو دفع أو نزاع بين المستخدم ومقدم الخدمة يخصهما وحدهما، ويورابيا ليست طرفاً فيه ولا تتحمل أي مسؤولية ناشئة عنه، ويتعامل المستخدمون مع مقدمي الخدمات على مسؤوليتهم الخاصة.
11. شروط متجر المنتجات
قسم المنتجات متجر منتقى. تُباع بعض المنتجات مباشرةً من يورابيا (بما فيها منتجات الطباعة عند الطلب المُنفَّذة عبر شركاء مثل Printify وPrintful)، وقد تُباع منتجات أخرى من بائعين معتمدين من يورابيا. البائع المسمى عند نقطة البيع هو المسؤول عن المنتج.
• الأسعار بالدولار الأمريكي ما لم يُذكر خلاف ذلك، وقابلة للتغيير قبل قبول الطلب. يُقبل الطلب عند تحصيل الدفع وإصدار التأكيد.
• تُعالَج مدفوعات المنتجات عبر Stripe وقد تشمل Apple Pay أو Google Pay كوسائل دفع. لا تخزن يورابيا أرقام البطاقات الكاملة.
• تُحتسب ضرائب المبيعات وتُحصَّل عند الدفع حيثما يقتضي القانون، وتتولى يورابيا تحصيلها وتوريدها نيابةً عن البائعين حيثما تنطبق قوانين وسيط السوق.
• يجوز إلغاء الطلبات الناتجة عن أخطاء تسعير واضحة واسترداد قيمتها حتى بعد التأكيد.
• مواعيد التوصيل تقديرية فقط، ويورابيا غير مسؤولة عن تأخير شركات الشحن أو الجمارك أو الظروف الخارجة عن سيطرتها.
• منتجات الطباعة عند الطلب تُصنع خصيصاً، ولا تُسترد أو تُستبدل إلا إذا كانت معيبة أو تالفة أو مطبوعة بشكل خاطئ أو مختلفة جوهرياً عن الوصف، شرط الإبلاغ مع صور خلال 30 يوماً من الاستلام. لا تُقبل الإرجاعات بسبب تغيير الرأي أو اختيار المقاس، في حدود ما يسمح به القانون.
• البائعون المعتمدون وحدهم مسؤولون عن منتجاتهم وسلامتها وامتثالها وتنفيذها وخدمة ما بعد البيع، ويجوز ليورابيا إزالة أي بائع أو منتج في أي وقت.
12. الراديو وقنوات المستخدمين والبودكاست
• بث راديو يورابيا مخصص للاستماع الشخصي غير التجاري فقط، ويُحظر تسجيله أو إعادة بثه أو استغلاله تجارياً.
• المستخدمون الذين ينشئون قنوات أو بودكاست أو يرفعون موسيقى يقرون ويضمنون أنهم يملكون أو رخّصوا جميع الحقوق اللازمة (بما فيها حقوق التأليف والتسجيل الصوتي والأداء) لكل مقطع صوتي يرفعونه أو يبثونه.
• أنت وحدك مسؤول عن أي إتاوات أو رسوم ترخيص مستحقة عن المحتوى الذي ترفعه، ويجوز ليورابيا إزالة أي محتوى صوتي في أي وقت، بما في ذلك استجابةً لأصحاب الحقوق.
• تُباع مساحات الإعلانات الإذاعية بموجب شروط منفصلة، وقد تنتج يورابيا الإعلانات بأصوات ذكاء اصطناعي وتحتفظ بملكيتها ما لم يُتفق كتابةً على خلاف ذلك.
• قد تتغير القنوات وقوائم التشغيل وتوافرها وتوزيعها على المدن في أي وقت.
13. المراجعات والتقييمات
• يجب أن تعكس المراجعات تجربة شخصية حقيقية وأن تكون دقيقة ومتوافقة مع القسم 5.
• يُحظر: المراجعات الزائفة أو المدفوعة أو المحفَّزة، ومراجعة نشاطك أو نشاط منافس، والتلاعب بالمراجعات، والمراجعات الابتزازية.
• لا يجوز لمقدمي الخدمات أو البائعين تقديم مقابل للمراجعات أو الانتقام من المراجعين.
• يجوز ليورابيا إزالة أي مراجعة وفق تقديرها، لكنها لا تتعهد بالتحقق من المراجعات وليست مسؤولة عن محتواها.
14. الاستخدامات المحظورة للمنصة
• الوصول الآلي أو جمع البيانات أو حصاد معلومات المستخدمين أو فهرسة المنصة دون إذن كتابي.
• الهندسة العكسية أو محاولة استخراج الشيفرة المصدرية، إلا حيثما يمنع القانون هذا القيد.
• الالتفاف على الأمان أو الإشراف أو الحظر أو ضوابط الوصول، أو إنشاء حسابات للتهرب من الإجراءات.
• استخدام المنصة لإرسال رسائل مزعجة أو تجارية غير مرغوبة، بما في ذلك عبر الرسائل المباشرة.
• رفع فيروسات أو شيفرات ضارة أو التدخل في تشغيل المنصة أو استخدام الآخرين لها.
• استخدام المنصة بما يخالف ضوابط التصدير أو العقوبات الأمريكية.
• انتحال صلة بيورابيا أو استخدام اسمها أو شعارها أو علاماتها التجارية دون إذن كتابي.
15. خدمات الأطراف الثالثة
تعتمد المنصة على خدمات أطراف ثالثة وتتصل بها، ومنها معالجة الدفع (Stripe) والخرائط (Google) ومعالجة الوسائط وشركاء التنفيذ والبنية التحتية للبث والمواقع الخارجية. يخضع استخدامك لتلك الخدمات لشروطها وسياساتها الخاصة، ويورابيا غير مسؤولة عنها أو عن توافرها أو أفعالها.
16. الملكية الفكرية ليورابيا
المنصة بكل ما فيها من برمجيات وتصميم ونصوص ورسومات وشعارات وعلامات تجارية (بما فيها "Urabia" و"يورابيا") ومحتوى صوتي من إنتاج يورابيا، مملوكة لشركة Urabia LLC أو مرخِّصيها ومحمية بقوانين الملكية الفكرية الأمريكية والدولية. تمنحك يورابيا ترخيصاً محدوداً وشخصياً وغير حصري وغير قابل للنقل وقابلاً للإلغاء لاستخدام التطبيقات والمنصة لغرضها المقصود، ولا تُمنح أي حقوق أخرى.
17. إخلاء الضمانات
تُقدَّم المنصة وجميع المحتويات والإدراجات والمنتجات والبث والخدمات "كما هي" و"حسب توافرها" دون أي ضمانات من أي نوع، صريحة أو ضمنية، بما فيها ضمانات القابلية للتسويق أو الملاءمة لغرض معين أو عدم الانتهاك أو الدقة أو التوافر أو الأمان أو التشغيل دون انقطاع أو أخطاء. لا تقدم يورابيا أي ضمان بشأن أي مقدم خدمة أو بائع أو مستخدم أو إدراج أو مراجعة أو منتج.
18. تحديد المسؤولية
إلى أقصى حد يسمح به القانون: (أ) لا تتحمل يورابيا ومالكوها وأعضاؤها ومديروها وموظفوها ومتعاقدوها ووكلاؤها أي مسؤولية عن أضرار غير مباشرة أو عرضية أو خاصة أو تبعية أو عقابية، أو عن فقدان أرباح أو إيرادات أو بيانات أو سمعة؛ (ب) يورابيا غير مسؤولة عن محتوى المستخدمين أو سلوك أي مستخدم أو مقدم خدمة أو بائع، أو أي معاملة بينهم، أو أي تفاعل خارج المنصة ناشئ عنها؛ (ج) لا يتجاوز إجمالي مسؤولية يورابيا عن جميع المطالبات أيهما أكبر: المبالغ التي دفعتها ليورابيا خلال الاثني عشر شهراً السابقة للواقعة، أو مئة دولار أمريكي (100$). تسري هذه الحدود أياً كانت نظرية المسؤولية.
19. التعويض
توافق على الدفاع عن شركة Urabia LLC ومالكيها وأعضائها ومديريها وموظفيها ومتعاقديها ووكلائها وتعويضهم وإبراء ذمتهم من أي مطالبات أو دعاوى أو أضرار أو خسائر أو مسؤوليات أو تكاليف (بما فيها أتعاب المحاماة المعقولة) الناشئة عن: محتواك؛ أو استخدامك أو إساءة استخدامك للمنصة؛ أو مخالفتك لهذه الشروط أو لأي قانون؛ أو انتهاكك لأي حق للغير؛ أو — إن كنت مقدم خدمة أو بائعاً — خدماتك أو منتجاتك أو إدراجاتك أو معاملاتك مع المستخدمين؛ أو أي محتوى صوتي أو موسيقي ترفعه أو تبثه.
20. الإنهاء
• يمكنك التوقف عن استخدام المنصة وحذف حسابك في أي وقت عبر ميزة حذف الحساب داخل التطبيق.
• يجوز ليورابيا تعليق حسابك أو تقييده أو إنهاؤه وإزالة أي محتوى في أي وقت، بسبب أو بدون سبب، بإشعار أو بدونه، ولا تُسترد الرسوم المدفوعة عند الإنهاء بسبب مخالفة.
• تبقى الأقسام التي تقتضي طبيعتها البقاء سارية بعد الإنهاء، ومنها الأقسام 8 و9 و10.4 و17 و18 و19 و21 و22.
21. تسوية النزاعات — التحكيم الملزم والتنازل عن الدعاوى الجماعية
يرجى قراءة هذا القسم بعناية فهو يؤثر على حقوقك.
قبل رفع أي مطالبة، توافق على مراسلتنا على admin@urabia.com بوصف كتابي للنزاع ومنحنا 60 يوماً لتسويته ودياً. باستثناء ما هو منصوص أدناه، يُسوّى أي نزاع ناشئ عن هذه الشروط أو المنصة حصرياً بالتحكيم النهائي الملزم أمام محكّم واحد لدى جمعية التحكيم الأمريكية (AAA) وفق قواعد تحكيم المستهلك (أو القواعد التجارية لمستخدمي الأعمال)، في مقاطعة هاريس بولاية تكساس أو عن بُعد بالفيديو، وباللغة الإنجليزية، ويحكم هذا القسم قانون التحكيم الفيدرالي الأمريكي.
تتنازل أنت ويورابيا عن الحق في المحاكمة أمام هيئة محلفين وعن المشاركة في أي دعوى جماعية أو تمثيلية، وتُحسم النزاعات على أساس فردي فقط.
استثناءً، يجوز لأي طرف رفع دعوى فردية أمام محكمة الدعاوى الصغيرة، أو طلب تدابير قضائية لحماية الملكية الفكرية أو ضد الوصول غير المصرح به. يمكنك الانسحاب من اتفاق التحكيم بمراسلة admin@urabia.com خلال 30 يوماً من قبولك الأول لهذه الشروط بعنوان "Arbitration Opt-Out" مع بريد حسابك.
22. القانون الحاكم والاختصاص
تخضع هذه الشروط وأي نزاع لقوانين ولاية تكساس والقانون الفيدرالي الأمريكي المعمول به، دون اعتبار لقواعد تنازع القوانين. وفي أي مسألة لا تخضع للتحكيم، توافق أنت ويورابيا على الاختصاص الحصري لمحاكم الولاية والمحاكم الفيدرالية في مقاطعة هاريس، تكساس.
23. تعديل الشروط
يجوز ليورابيا تعديل هذه الشروط في أي وقت. يُعلن عن التغييرات الجوهرية عبر المنصة أو البريد الإلكتروني مع تحديث تاريخ "آخر تحديث". استمرارك في استخدام المنصة بعد سريان التغييرات يُعد قبولاً لها. إذا لم توافق، توقف عن الاستخدام واحذف حسابك.
24. شروط إضافية — متجر تطبيقات Apple
إذا حصلت على التطبيق من متجر Apple: هذه الشروط بينك وبين يورابيا فقط وليست مع Apple؛ وApple غير مسؤولة عن التطبيق أو محتواه أو عن أي صيانة أو دعم أو مطالبات تتعلق به بما فيها مطالبات مسؤولية المنتج والامتثال القانوني وحماية المستهلك؛ وترخيصك مقصور على استخدام التطبيق على أجهزة Apple التي تملكها أو تتحكم بها وفق شروط App Store؛ وفي حال مطالبة طرف ثالث بانتهاك التطبيق لملكية فكرية، تكون يورابيا لا Apple مسؤولة عن التحقيق والدفاع والتسوية؛ وتقر بأنك لست في دولة خاضعة لحظر أمريكي ولا مدرجاً على أي قائمة حظر أمريكية؛ وتُعد Apple وشركاتها التابعة مستفيداً ثالثاً من هذه الشروط فيما يخص تطبيق iOS ويحق لها إنفاذها. تُجرى مشتريات اشتراكات الأعمال والمنتجات المادية خارج التطبيق عبر الويب وتخضع لهذه الشروط.
25. شروط إضافية — Google Play
إذا حصلت على التطبيق من Google Play، فإنك تقر بأن هذه الشروط بينك وبين يورابيا فقط، وأن Google LLC غير مسؤولة عن التطبيق أو هذه الشروط، وأن استخدامك يجب أن يمتثل أيضاً لشروط خدمة Google Play وسياساتها.
26. أحكام عامة
• الاتفاق الكامل — تشكل هذه الشروط وسياسة الخصوصية والسياسات المدمجة بالإشارة كامل الاتفاق بينك وبين يورابيا بشأن المنصة.
• قابلية الفصل — إذا تبين عدم نفاذ أي حكم، يُنفَّذ إلى أقصى حد ممكن وتبقى بقية الأحكام سارية.
• عدم التنازل — عدم إنفاذ يورابيا لأي حكم لا يُعد تنازلاً عنه.
• الإحالة — لا يجوز لك إحالة هذه الشروط، ويجوز ليورابيا إحالتها بما في ذلك عند الاندماج أو الاستحواذ أو بيع الأصول.
• القوة القاهرة — يورابيا غير مسؤولة عن أي تأخير أو إخفاق ناتج عن ظروف خارجة عن سيطرتها المعقولة.
• لا وكالة — لا تنشئ هذه الشروط أي شراكة أو مشروع مشترك أو علاقة عمل أو وكالة، ومقدمو الخدمات والبائعون أعمال مستقلة.
• اللغة — تُقدَّم هذه الشروط بالإنجليزية والعربية، وتسود النسخة الإنجليزية عند أي تعارض أو غموض.
• الإشعارات — يجوز ليورابيا إرسال الإشعارات عبر المنصة أو الإشعارات الفورية أو البريد الإلكتروني المسجل، وتُرسل الإشعارات القانونية إلى يورابيا على admin@urabia.com.
